Terms
Last updated: 30 October 2026
1. About these terms
These terms are an agreement between you and Ocius Technology Group Pty Ltd, trading as Utaba ("we", "us"), which runs Station Zero at stationzero.services. By creating an account, connecting an artificial intelligence (AI) agent to Station Zero, or buying credit, you agree to them. Our Privacy Policy explains how we handle personal information.
Who "you" are. Station Zero is built for AI agents, but an agent cannot enter a contract. The person who creates the account, or the organization they act for, is the accountable principal and is bound by these terms. That includes accounts an AI creates through our sign-up API: the account belongs to the person or organization that runs the AI.
When an AI signs up for you. An AI can create an account through our sign-up application programming interface (API). When it does, it confirms to us that you have authorized it to create the account and accept these terms for you. You also confirm your acceptance when you verify that email, sign in, or pay for credit. If you did not authorize it, do not verify the email, and the account will be deleted as described in section 7.
Who may use Station Zero. You must be at least 18 and able to form a binding contract. If you accept for an organization, you confirm you have authority to bind it.
Organizations and members. Every account has one organization, which owns its wallet, API keys, services and data. Its owners and admins can add other people to it. You are responsible for everyone you add and for keeping sign-in details and credentials secure.
2. The service
Station Zero is a set of services that AI agents connect to over the Model Context Protocol (MCP) and that people use through our website. Each service has its own tools, prices and documentation, published on our site. These terms apply however you reach Station Zero: through an AI, through the website, or both.
Experimental services. Some services are marked Experimental. They may change, lose features or be withdrawn at short notice, and are provided as is, subject to your consumer rights in section 7. Do not rely on them for critical work, and keep your own copies of anything important.
Availability. We aim to keep Station Zero available but do not promise uninterrupted service. We may carry out maintenance, and services can be affected by our hosting and payment providers.
Use before you verify your email. Some of Station Zero can be used before an account's email address is verified. These terms apply from the moment the account is created, and bind the person or organization that runs the AI making the calls. Use before verification is limited, provided as is, and may change or end at any time. If the email is never verified, the account and its content are deleted as described in section 7.
Changes. We may add, change or remove services and prices. A new price applies only to calls made, and periods starting, after it takes effect; for a subscription, from the first renewal after it takes effect. We will give at least 14 days' notice by email before a price rise, or before we remove a service you use. If you do not accept the change, you can ask for a refund under section 4 before it takes effect. Experimental services can change at shorter notice.
3. Your AI acts for you
When an AI signs up for you, uses a credential issued to your organization, or is approved by you to act in your account, it acts on your behalf for as long as that credential or approval lasts or until you revoke it. Within the access you grant, it can do anything you could do yourself through Station Zero, including creating the account, enabling, configuring and calling services, starting trials, spending your organization's credit on calls and on services with recurring charges, managing members, and requesting top-ups for a person to pay.
You are responsible for what your AI does under your account, as if you had done it yourself. This includes the calls it makes, the credit it spends and the content it stores. Revoke a key or connection as soon as you no longer trust it.
You use Station Zero at your own risk. You choose which AI to connect, what access to give it and what it does. As far as the law allows, you accept all risk of connecting your AI to Station Zero, and we are not liable for:
- outages, downtime, slow responses or a service being unavailable
- bugs, defects or errors in the software, or lost, corrupted or deleted data
- what your AI does, decides or spends, including content it reads, changes or deletes through a tool it calls, and anything it does because it was manipulated or deceived by content it read
- interruption to your business, or any loss of income, profit, revenue, customers or business that follows from any of these
This does not remove the consumer rights described in section 7, which the law does not let us exclude.
AI makes mistakes and can be attacked. You acknowledge that AI agents misunderstand, act on wrong or incomplete information and make mistakes, and that they can be manipulated by content they read, including through prompt injection, where instructions hidden in content cause an AI to act against your interests. When your AI uses Station Zero to reach content from outside, such as email, web pages, documents, messages or data feeds, that content is an attack vector: anything it contains can influence what your AI does next with your account, your content, your credit and your connected accounts. Station Zero passes that content to your AI and cannot detect or prevent such attacks. You are responsible for choosing an AI suited to the task, for the instructions and guardrails you give it, for limiting the access and credit it can use, and for supervising what it does. As far as the law allows, we are not liable for any loss that results from an AI being manipulated, deceived or attacked through content it reads, or from a mistake it makes, whether or not that content reached it through Station Zero.
Connected accounts. Some services let you sign an AI into an account you hold with your chosen identity or email provider, so it can act in that account for you. You choose what to connect and can disconnect at any time. You are responsible for following that provider's terms. Email your AI sends from your account is sent by you, and you are responsible for it, including under anti-spam laws.
4. Credit, prices and payment
Station Zero is prepaid: you buy credit, and each billable call, and each recurring charge for a service you have enabled, is deducted from it at the price published for that service. We do not send invoices; our approved payment provider sends your receipt.
What credit is. Credit is a prepaid right to use Station Zero services at our published prices. It is not money, a deposit or a bank account. It earns no interest, cannot be transferred to another organization, and can only be spent on Station Zero. Trial allowances and grants are free. They are not bought, and they cannot be refunded or exchanged for money.
Prices. Prices are shown per service in US dollars (USD). Credit is sold and spent in USD only. Our payment provider works out any tax, such as goods and services tax (GST), at checkout. Your bank may charge its own currency conversion fee. A billable call may carry a minimum fee, shown on the service's page. Where it does, we charge it even when the call fails, unless the failure is caused by a fault on our side.
Recurring charges. Some services charge for time rather than per call: a fee for the service per period, a fee for each person or agent that used it in the period, or a fee for data stored. The prices and the period are shown on the service's page. Recurring charges accrue while the service is enabled in full, and are deducted from your credit at the end of each period, prorated to the day, even if that takes your balance below zero. Disabling the service stops new charges accruing; charges already accrued are still deducted. If your credit runs out, see Negative balance and Unpaid charges below.
Free trials and grants. Some services include a trial, as a free allowance or a free period of a set number of days, and new accounts may receive a one-off grant once their email is verified. Both have no cash value and may change or end at any time.
Buying credit. You pay through our approved payment provider, which sells the credit to you as merchant of record. Its own terms govern the payment, and it handles tax, receipts, refunds of payments and payment disputes. These terms govern the credit once it is in your wallet, and the services you spend it on. We never see your card details.
Top-ups and ongoing charges. Credit is added when a person pays through our payment provider's checkout. Your AI can request a top-up, but a person must pay it. If we later offer a way for credit to be added under a standing arrangement you set up, top-ups made through it are treated as authorized by you, and you are responsible for them (see section 3) until you end the arrangement. Ongoing charges, such as recurring charges, are deducted from your credit automatically while you keep using a service.
Subscriptions. We may offer subscriptions: a recurring payment, taken by our payment provider, that covers a set of services for a period without drawing on your credit. The price, the period and what it covers are shown when you subscribe. The payment provider's terms govern the recurring payment, as they do a purchase of credit, and these terms govern the services it covers. A subscription renews at the end of each period until you cancel it, and cancelling ends it at the end of the period already paid for. While a subscription covers a service, no call or recurring charge for that service is deducted from your credit. Refunds of subscription payments follow the Refunds paragraph, and a subscription ends when your account closes.
Refunds. To ask for a refund, contact us through our website.
Refunds the law requires. If Station Zero fails to meet a consumer guarantee, for example a service is not as described or is not available for a reasonable time, you are entitled to the remedies the consumer law gives (see section 7). Those can include a refund of the credit affected, or a refund in proportion to the failure, even if part of the purchase has been spent. Nothing in the paragraphs below limits them.
Other refunds. Apart from refunds the law requires, refunds are at our discretion. A refund is always of a whole purchase, and only while your wallet balance still covers the full amount of that purchase; we do not give partial refunds, and once any part of a purchase has been spent and not replaced, it cannot be refunded. We may decline a request for other reasonable reasons, such as how long ago you bought it, or abuse or fraud. If we approve a refund, we ask our payment provider to refund the purchase to your original payment method. How long it takes to reach you depends on the payment provider and your bank. Free trial allowances and grants are never refundable. If a call fails because of a fault on our side, we will return the credit it used. Where the law requires us to refund part of a purchase, we may do so by another method we choose. Our payment provider may also refund a payment under its own policies. If a payment is refunded or reversed, the matching credit is removed from your wallet. If you have already spent it, your balance goes below zero and the wallet is frozen (see Negative balance).
Disputes. If you dispute a payment with your bank, we remove the matching credit and freeze the wallet while the dispute is open. Recurring charges continue while a wallet is frozen, and we will not delete data for non-payment while a dispute is open.
Negative balance. Your balance can go below zero, for example when a recurring charge is deducted or a refund removes credit you have already spent. While it is below zero, the wallet is frozen: paid calls are refused, and services with recurring charges are blocked. It unfreezes when a top-up brings it back above zero. We recover a negative balance from your next top-up. Where it arose from a payment dispute, reversal or fraud, we may also recover it as a debt.
Unpaid charges. While your balance covers your recurring charges, nothing else happens. If it cannot, we notify your organization's owners, and the affected services are blocked until a top-up brings the balance back to zero or above. We may stop new writes to stored data while a charge is unpaid, and we may delete the stored data for a service that stays unpaid after giving your organization's owners at least 14 days' notice. Once deleted, the data cannot be restored. Your account, keys and wallet are kept.
Expiry. Credit does not expire.
Credit when an account closes. When your account closes, you can ask us to refund unused paid credit. We refund whole purchases only, starting with your most recent, for purchases made in the last 60 days, and only while your remaining balance still covers the full amount of each purchase. Any balance left after that is not refunded. We give one closure refund per person or organization, and we may refuse a new account for that person or organization for 90 days afterwards. We do not give a closure refund if the account has had a payment dispute, has breached these terms, or shows signs of abuse, and we may decline any request where we reasonably suspect abuse. Refunds go only to the original payment method. Trial allowances and grants end when the account closes.
Section 7 explains your consumer rights.
5. Acceptable use
You must not use Station Zero, or let your AI use it, to:
- break the law or infringe anyone's rights, including privacy and intellectual property
- store or send malware, spam or unsolicited bulk email (including through a connected email account)
- store illegal content, or content that exploits or harms children
- probe, overload or bypass our security, rate limits, metering or billing
- create accounts in bulk, or rotate internet protocol (IP) addresses or identities, to collect extra free trials or grants
- connect an external identity provider or email account you are not authorized to use; send messages that break anti-spam laws, including invitations sent in bulk; or resell or rebrand the service without our written agreement
- process sensitive personal information, such as health records, unless you have a lawful basis and appropriate safeguards
We may investigate suspected misuse and act under section 7. Investigating may mean looking at the content involved, as our Privacy Policy explains.
6. Your content and our property
Your content stays yours. Content means what you or your AI store or send through Station Zero, including data, files and settings. You give us only the rights needed to store, process and return it to you, to run the service, and to keep it secure. We use your content only to store it securely and return it to you and your AI. We do not use it to train AI models, and we do not sell it. You choose your AI: what it reads from Station Zero goes to your AI's provider under your agreement with them, not with us.
You are responsible for your content. You confirm you have the right to store it. You must keep your own copies of anything you cannot afford to lose. Station Zero is not a backup service, and we do not promise that content can be recovered once it has been deleted or changed, whether by you, by your AI or under these terms.
Personal information in your content. If your content includes personal information about other people, you are responsible for collecting it lawfully and telling them how it is used. We handle it only to provide Station Zero to you, as our Privacy Policy explains.
Our property. Station Zero, its software, documentation and brand belong to us or our licensors. These terms give you a right to use the service, not ownership of it.
Feedback. If you send us suggestions, we may use them without obligation to you.
7. Ending, liability and the legal bits
Suspension and termination. We may suspend or close an account, key or connection if we reasonably believe it breaches these terms or puts others or our systems at risk, or if a payment on it is disputed. Where we reasonably can, we will tell you first and give you a chance to fix it. You can stop using Station Zero at any time; to close your account, contact us through our website.
What happens to your data when you leave. Before you close your account, retrieve anything you want to keep. Your AI can read your content through the service tools at the usual prices. On closure, we delete your content within 30 days, apart from records we must keep, such as payment and ledger history. If we close your account for a reason other than a serious breach, or stop offering Station Zero, we will give you at least 30 days to retrieve your content first. Accounts that never verify their email and stay unused for 30 days are deleted automatically, unless they have paid for credit.
Your consumer rights. Consumer laws may give you rights that cannot be excluded. Nothing in these terms limits them, and every limit below applies only as far as the law allows.
Australian consumers. If you are a consumer under the Australian Consumer Law, our services come with guarantees that cannot be excluded. Nothing in these terms limits them.
Warranties. Apart from those rights, Station Zero is provided as is and as available. Software has bugs, and we do not promise that Station Zero will be uninterrupted, error-free, secure or free of defects. AI agents act unpredictably and can be manipulated by what they read, and we are not responsible for what your AI does with Station Zero, including reading, changing or deleting your content, spending your credit, or acting on information from Station Zero that is wrong, incomplete or out of date.
Liability. Apart from your consumer rights, we are not liable for indirect or consequential loss; for lost profit, revenue, income, customers, business or goodwill; for business interruption; for loss, corruption or deletion of data or content, or the cost of recreating it; or for the cost of substitute services. This applies however the loss arises, including from outages, downtime, bugs, defects or errors in the software, or from the actions, decisions or mistakes of your AI or any AI connected to your account, including where it was manipulated or attacked through content it read. Our total liability to you for all claims together is limited to what you paid for credit in the 12 months before the first claim. Where the law lets us limit our liability for a guarantee or warranty that cannot be excluded, we limit it to supplying the services again or paying the cost of that. These limits do not apply to loss caused by our fraud, willful misconduct or breach of our privacy obligations.
If you are a business. If you use Station Zero for business purposes, these exclusions and limits apply in full, as far as the law allows, and you confirm you have not relied on any promise outside these terms.
Indemnity. You will cover our reasonable costs from claims by others that arise from your content, or from a breach of these terms by you or your AI, to the extent you or your AI caused them. This does not cover loss caused by our own negligence or breach.
Governing law and where disputes are heard. The laws of Western Australia, Australia, govern these terms. Any claim about Station Zero or these terms must be brought in the courts of Western Australia, which have exclusive jurisdiction, and you agree not to bring one anywhere else. We do not submit to the jurisdiction of any court outside Australia. If the consumer law where you live gives you a right that cannot be excluded, these terms do not take it away, but only to that extent.
Changes to these terms. We may update these terms. For material changes we will give at least 30 days' notice by email to your organization's owners and on the site. If you do not agree, you can close your account before the change takes effect and ask for a refund under section 4. If you keep using Station Zero after that, the change applies to you. We may make changes needed for legal or security reasons sooner, and will tell you as soon as we can.
Contact. Contact us through our website.
8. General
Following the law. We operate Station Zero from Australia and run it under Australian law. We do not undertake to comply with the laws of any other country, and nothing in these terms is a promise that Station Zero is lawful or suitable for use anywhere outside Australia. You must follow the laws that apply to you and your AI, including where you live and wherever your AI acts.
Notices. We send notices to the email addresses of your organization's owners. Until an email is verified, we send them to the operator email your AI gave us. Send notices to us through the contact page on our website.
Events outside our control. We are not responsible for delays or failures caused by events we cannot reasonably control, such as outages at our hosting or payment providers, internet failures, natural disasters or government action.
Transfer. You may not transfer your account or these terms without our written agreement. We may transfer them to a business that takes over Station Zero. We will tell you, and your rights under these terms will not be reduced.
Whole agreement. These terms and the prices on our site are the whole agreement between you and us about Station Zero. Our payment provider's terms govern your payment.
If part is invalid. If a court finds part of these terms invalid or unfair, that part is removed or read down, and the rest still applies.
No waiver. If we do not enforce a term straight away, we can still enforce it later.
What continues after closure. Terms about amounts owed, your content, liability and indemnity continue after your account closes.
Disputes. Tell us first through the contact page on our website, and we will try to resolve it within 30 days. This does not stop you going to a court in Australia, or to a tribunal or consumer regulator.
